Common use of Limitation of Broker’s Liability Clause in Contracts

Limitation of Broker’s Liability. The liability of Broker under this Agreement shall be limited to direct damages, and in no event will Broker be liable for any loss of or damage to revenues, profits, goodwill or other special, incidental, exemplary, punitive, indirect or consequential damages of any kind resulting from the performance or failure to perform pursuant to the terms of this Agreement or form the provision of the limited service hereunder, even if Broker has been advised of the possibility of such damages. In no event shall the total liability of Broker to Seller for damages in connection with claims made under the terms of this Agreement exceed the amount of compensation received by Broker under the terms of this Agreement. The Seller agrees that in any event it shall look solely to Broker for damages and/or compensation and that in no event shall Seller make any demand of Broker’s affiliates, shareholders, interest holders, directors, officers, members, partners, employees, agents, representatives, advisors or attorneys, successors and assigns.
