Common use of Limitation of Guarantor's Guarantee Clause in Contracts

Limitation of Guarantor's Guarantee. Notwithstanding any other provision of this Article Two or of the Indenture to the contrary, in the event that the Guarantee provided pursuant to this Article Two would constitute or result in a violation of any applicable fraudulent conveyance or similar law of any relevant jurisdiction, the liability of the Guarantor under this Guarantee shall be reduced to the maximum amount permissible under such applicable fraudulent conveyance or similar law after taking into account and giving effect to all Senior Guarantor Indebtedness.
