Limitation of Liability and Indemnification of Members. No Member shall be personally liable for monetary damages for breach of any duty provided for in LSA-R.S. 12:1314. The Company shall defend, indemnify and hold harmless each Member against judgments, settlements, penalties, fines or expenses incurred because such person or entity is or was a member of the Company.
