Common use of Limitation of Liability of General Partner Clause in Contracts

Limitation of Liability of General Partner. The General Partner shall not be liable to any other Partner for any loss, liability, expense, cost or damage suffered or incurred by such Partner arising out of any act, omission or error in judgment of the General Partner other than an act, omission or error in judgment of the General Partner which (a) is in contravention of Section 9.7, (b) results in a loss of limited liability of the Limited Partner or otherwise exposes the Limited Partner to unlimited liability, or (c) results from the gross negligence or willful misconduct of the General Partner.

Limitation of Liability of General Partner. The General Partner shall not be liable to any other Partner for any loss, liability, expense, cost or damage suffered or incurred by such Partner arising out of any act, omission or error in judgment of the General Partner other than an act, omission or error in judgment of the General Partner which (a) is in contravention of Section 9.79.6, (b) results in a loss of limited liability of the Limited Partner or otherwise othe1wise exposes the Limited Partner to unlimited liability, or (c) results from the gross negligence or willful misconduct of the General Partner.

Limitation of Liability of General Partner. The Subject to §3.11, the General Partner shall will not be liable to the Partnership or to any other Limited Partner for any loss, liability, expense, cost or damage suffered or incurred by such Partner arising out of any act, omission or error in judgment that does not result from or arise out of a failure of the General Partner other than an act, omission or error in judgment of the General Partner which (a) is in contravention of Section 9.7, (b) results in a loss of limited liability of the Limited Partner or otherwise exposes the Limited Partner to unlimited liability, or (c) results from the gross negligence or willful misconduct of the General Partneract as required by §12.8.

Limitation of Liability of General Partner. The General Partner shall not be liable to any other a Limited Partner for any loss, liability, expense, cost or damage suffered or incurred by such Partner arising out of any act, omission or error in judgment of the General Partner other than save and except an act, omission or error in judgment of arising from a transaction entered into by the General Partner which (a) is in contravention of Section 9.7, (b) results in a loss of limited liability of the Limited Partner or otherwise exposes the Limited Partner to unlimited liability, or (c) results from the gross negligence or willful misconduct of the General Partnersection 7.6.

Limitation of Liability of General Partner. The General Partner shall will not be liable to any other a Limited Partner for any loss, liability, expense, cost or damage suffered or incurred by such Partner arising out of any act, omission or error in judgment of the General Partner other than an any act, omission or error in judgment judgment: (a) where it is adjudged by a court of competent jurisdiction that the General Partner which (a) is has failed to act honestly, in contravention good faith and in what the General Partner reasonably believed to be the best interests of Section 9.7, the Partnership; or (b) results in which is adjudged by a loss court of limited liability of the Limited Partner or otherwise exposes the Limited Partner competent jurisdiction to unlimited liability, or (c) results from the gross negligence or willful misconduct of the General Partnerhave been grossly negligent.
