Limitation on Actions of Members; Binding Authority. No Member shall, without the prior written consent of the other Members, take any action on behalf of, or in the name of, the Company, or enter into any contract, agreement, commitment or obligation binding upon the Company, or, in its capacity as a Member or Manager of the Company, perform any act in any way relating to the Company or the Company’s assets, except in a manner and to the extent consistent with the provisions of this Agreement. Notwithstanding any provision in this Agreement to the contrary and without the need for any additional consent from any Person, the Company, are hereby authorized to execute, deliver and perform that certain Consent and Agreement of the Company attached to the Pledge Agreement. 9.7
