Common use of Limitation on Assignment by Members Clause in Contracts

Limitation on Assignment by Members. Except as otherwise provided herein, no Member may assign or transfer all or any part of its Interest in the Company, whether by operation of law or otherwise, and including granting security interests in such Interest, without (i) the consent of the Manager and (ii) the assignee or transferee agreeing in writing to be bound by the terms of this Agreement.
