Limitation on Issuance of Stock. Except for the issuance or sale of common stock or Permitted Preferred Stock by Borrower, issue or sell or enter into any agreement or arrangement for the issuance and sale of any of its Stock.

Except for the issuance or sale of common stock or Permitted Preferred Stock by Parent or Borrower, issue or sell or enter into any agreement or arrangement for the issuance and sale of any of its respective Stock, except in connection with the formation of a Subsidiary pursuant to a transaction not prohibited by this Agreement.
