Limitation on Issuances and Sales of Preferred Stock of Restricted Subsidiaries. The Company (1) will not permit any Restricted Subsidiary to issue or sell any Preferred Stock to any Person other than the Company or one of its Wholly Owned Restricted Subsidiaries and (2) will not permit any Person other than the Company or one of its Wholly Owned Restricted Subsidiaries to own any Preferred Stock of any Restricted Subsidiary, except, in each case, for (a) the Preferred Stock of a Restricted Subsidiary owned by a Person at the time such Restricted Subsidiary became a Restricted Subsidiary, or (b) a sale of Preferred Stock in connection with the sale of all the Capital Stock of a Restricted Subsidiary owned by the Company or its Subsidiaries effected in accordance with Section 4.10.

The Company Borrower (1a) will shall not permit any Restricted Subsidiary to issue or sell any Preferred Stock to any Person other than to the Company Borrower or one of its Wholly Owned wholly owned Restricted Subsidiaries and (2b) will shall not permit any Person other than the Company Borrower or one of its Wholly Owned wholly owned Restricted Subsidiaries to own any Preferred Stock of any other Restricted Subsidiary, Subsidiary except, in each case, for (ai) the Preferred Stock of a Restricted Subsidiary owned by a Person at the time such Restricted Subsidiary became a Restricted Subsidiary, Subsidiary or (bii) a sale of Preferred Stock in connection with the sale of all of the Capital Stock capital stock of a Restricted Subsidiary owned by the Company Borrower or its Subsidiaries effected in accordance with Section 4.107.5 hereof.

The Company (1a) will shall not permit any Restricted Subsidiary to issue or sell any Preferred Stock to any Person other than to the Company or one of its Wholly Owned Restricted Subsidiaries and (2b) will shall not permit any Person other than the Company or one of its Wholly Owned Restricted Subsidiaries to own any Preferred Stock of any other Restricted Subsidiary, Subsidiary except, in each case, for (ai) the Preferred Stock of a Restricted Subsidiary owned by a Person at the time such Restricted Subsidiary became a Restricted Subsidiary or acquired by such Person in connection with the formation of the Restricted Subsidiary, or transfers thereof or (bii) a sale of Preferred Stock in connection with the sale of all of the Capital Stock of a Restricted Subsidiary owned by the Company or its Subsidiaries effected in accordance with Section 4.106.14 hereof.

Limitation on Issuances and Sales of Preferred Stock of Restricted Subsidiaries. The Company (1a) will shall not permit any Restricted Subsidiary to issue or sell any Preferred Stock to any Person other than to the Company or one of its Wholly Owned Restricted Subsidiaries and (2b) will shall not permit any Person other than the Company or 50 one of its Wholly Owned Restricted Subsidiaries to own any Preferred Stock of any other Restricted Subsidiary, Subsidiary except, in each case, for (ai) the Preferred Stock of a Restricted Subsidiary owned by a Person at the time such Restricted Subsidiary became a Restricted Subsidiary, Subsidiary or (bii) a sale of Preferred Stock in connection with the sale of all of the Capital Stock of a Restricted Subsidiary owned by the Company or its Subsidiaries effected in accordance with Section 4.109.17 hereof.
