Limitation on Liability and Licensee Indemnification. The Judicial Council and State shall not be liable for any debts, liabilities, settlements, liens, or any other obligations of Licensee or its heirs, successors, or assigns. Licensee shall indemnify, defend, and hold harmless the Judicial Council and State, the Court and their judicial officers, officers, agents, and employees from and against any claims, damages, or expenses, including an amount equal to reasonable attorneys’ fees, and liabilities arising out of or in any way connected with this SLA for claims, damages, expenses, or liabilities for loss or damage to any property, or for any death or injury to any person or persons in proportion to and to the extent that such claims, damages, expenses, or liabilities arise from the negligence or willful acts or omissions of Licensee, or its officers, agents, employees, assigns, and successors.
