Limitation on Merger, Etc. (a) Each of the Company, the Guarantors and their Subsidiaries shall not in a single transaction or through a series of related transactions, (i) consolidate with or merge with or into any other Person, or transfer (by lease, license, assignment, sale or otherwise) all or substantially all of its Properties and assets as an entirety or substantially as an entirety to another Person or group of affiliated Persons or (ii) adopt a Plan of Liquidation.
