Common use of Limitation on Purchase of Common Stock Clause in Contracts

Limitation on Purchase of Common Stock. Until the earlier to occur of (i) the seventh anniversary of the Closing Date or (ii) the date on which at least 40% of the outstanding Common Stock on a Fully Diluted basis of the Company is held by Persons other than the Shareholders (the "Trigger Date"), no Institutional Shareholder shall acquire any shares of Common Stock except (i) in a purchase of Equity Securities pursuant to Section 4.03 or Section 4.04 hereof or (ii) in a transfer from any other Shareholder which is otherwise permitted under the terms of Article 3 hereof.
