Common use of Limitation on Registration Rights Clause in Contracts

Limitation on Registration Rights. Notwithstanding anything herein to the contrary, (i) neither the Representative nor its respective designees may exercise their rights under Sections 2.1 and 2.2 hereunder after five (5) and seven (7) years, respectively, after the effective date of the registration statement relating to the Company’s initial public offering, and (ii) the Representative may not exercise its demand rights under Section 2.1 more than one time.
