Limitation on Securities Issuances. (A) Except as disclosed to the Lender, permit any Subsidiary to issue any shares of Capital Stock that are not “certificated securities” (as defined in § 8-102 of the Uniform Commercial Code as in effect in the State of New York on the date hereof) and are not pledged to the Lender pursuant to the Pledge Agreement or (B) issue or permit any Subsidiary to issue any shares of preferred stock.
