Limitation on Senior Equity Securities. Without the consent of the holders of a majority of the then outstanding shares of Series A Preferred Stock, the Company will not issue any equity securities or any rights, options, warrants or other securities which are exercisable for, exchangeable for or convertible into shares of any class of capital stock ranking pari passu or senior as to dividends or upon liquidation to the Series A Preferred Stock.
