In no event shall the Company be required hereunder to (i) participate in more than three Underwritten Offerings in any 12-month period or (ii) register Registrable Securities under this Section 2 unless the aggregate offering price to the public for such offering of Registrable Securities included in such Demand Notice is expected to be at least $1.0 million.
