Common use of Limitations of Damages of BPDB Clause in Contracts

Limitations of Damages of BPDB. Notwithstanding the foregoing or any other provision of this Lease Agreement, the Parties agree that, in the event that BPDB terminates this Lease Agreement as a result of a Company Event of Default under Section 7.1(a)(iii) and the GOB elects to purchase the Facility and the Company transfers the Facility to the GOB pursuant to Section 14.1 of the Implementation Agreement, upon such transfer and payment by the GOB of the compensation provided under Section 14.1 of the Implementation Agreement, any claims by BPDB against or liability of the Company under this Lease Agreement (except as provided in Section 8.1) shall be fully extinguished and BPDB shall have no further claim or recourse against the Company under this Lease Agreement. The provisions of this Section 8.2 shall be without prejudice to any right or remedy of the Company which arises prior to termination of this Lease Agreement.
