LIMITATIONS ON AMOUNT--BUYER AND BUYER PARENT. Buyer and Buyer Parent shall have no liability (for indemnification or otherwise) with respect to claims under SECTION 10.4(A) until the total of all Damages with respect to such matters exceeds forty thousand dollars ($40,000) in which event Buyer and Buyer Parent shall become liable for the full amount of all claims on a dollar for dollar basis, up to a maximum amount equal to fifty percent (50%) of the Purchase Price (the Purchase Price being calculated for this purpose as if the Annual Buyer Revenues equal or exceed $15,000,000 and without regard to any reduction of the Earn-out Amount pursuant to SECTION 9.12). However, this SECTION 10.6 will not apply to claims under SECTION 10.4(B) through (D) or to any Breach of any of Buyer's or Buyer Parent's representations and warranties of which Buyer had Knowledge at any time prior to the date on which such representation and warranty is made or any intentional Breach by Buyer of any covenant or obligation, and Buyer and Buyer Parent will be liable for all Damages with respect to such Breaches. In determining the amount of any Damages for which Selling Parties may seek indemnification under SECTION 10.4(A), any materiality standard or qualification shall be disregarded.

Notwithstanding the foregoing, nothing contained herein shall prevent such Purchaser and subsequent holders of Restricted Securities from transferring such securities in compliance with the provisions of SECTION 4 hereof. Each certificate for Restricted Securities shall be imprinted with a legend in substantially the following form: "THE SECURITIES REPRESENTED BY THIS CERTIFICATE WERE ORIGINALLY ISSUED ON [DATE OF ISSUANCE] AND HAVE NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED.
