Limitations on Asset Sales. Until the Notes receive an Investment Grade rating from both Rating Agencies (after which time this Section 4.09 shall no longer be in effect), the Issuer shall not, and shall not permit any Restricted Subsidiary to, directly or indirectly, consummate any Asset Sale unless:
