Common use of Limitations on Demand Registration Clause in Contracts

Limitations on Demand Registration. Each of the Holders shall be entitled to one (1) Demand Registration in accordance with Section 2(a); provided, however, that in no event shall the Company be required to effect more than one (1) Demand Registration hereunder within any six-month period; and provided, further that the Company shall not be obligated to effect a Demand Registration unless (i) the aggregate proceeds expected to be received from the sale of the Registrable Securities requested to be included in such Demand Registration equals or exceeds five million dollars ($5,000,000) or (ii) all of the Registrable Securities then held by the Requesting Holder are requested to be included in such Demand Registration.
