Limitations On Duties And Actions Of Agent. The Agent shall have full authority to act on behalf of the Securityholders in all matters set out in Article 4, in accordance with the terms of the Agent’s engagement as provided in Section 6.2, including, but not limited to, the execution and delivery of any documents or instruments as may be necessary to effect the transactions contemplated by this Agreement, but shall not have any duties or responsibilities except those expressly set forth in this Agreement. The Agent shall not be liable for any action taken or omitted by it, or any action suffered by it to be taken or omitted, in each case in accordance with the terms and conditions of this Agreement, excepting only its own gross negligence or intentional misconduct.
