Limitations on Incidental Registrations. Notwithstanding --------------------------------------- anything in this Section 3.2 to the contrary, in no event will the Company be required to (i) grant a request to include Registrable Securities in any "shelf' registration filed pursuant to Rule 415 under the Securities Act, or any successor rule, relating to the offering of debt securities by the Company, or (ii) grant a request to include Registrable Securities in any registration unless the amount of all Registrable Securities which the Company has been so requested to register by the Requesting Holders thereof (without giving effect to the application of the foregoing subsection (b)) is at least US$25,000,000 (or such lesser amount as described in Section 3.l(g)(ii)).
