Common use of Limitations on Infringement Liability Clause in Contracts

Limitations on Infringement Liability. The preceding agreements by Supplier in this section shall not apply to any hardware, software, or related product or portion thereof manufactured to specifications furnished by or on behalf of Customer, to any infringement arising out of the use of the Software in combination with other hardware, software, or related product not furnished by Supplier, or to any patent, copyright, trademark or trade secret in which Customer or subsidiary or affiliate thereof, has a direct or indirect interest, or if Customer has not provided Supplier with prompt notice, authority, information and assistance necessary to defend the action. The foregoing states the entire liability of Supplier for patent, copyright, trademark and trade secret infringements by the Software or portion thereof.
