Common use of Limitations on Liability of Managing Partner to Partners Clause in Contracts

Limitations on Liability of Managing Partner to Partners. Anything in this Agreement to the contrary notwithstanding, neither Managing Partner nor its Affiliates nor any other Partner shall be liable for the return of Capital Contributions of the Partners or for any portion thereof, it being expressly understood that any return of capital shall be made solely from the assets of the Partnership, nor shall Managing Partner or any other Partner be required to pay to the Partnership or to any Partners any capital deficits of any Partner upon Dissolution of the Partnership or otherwise.
