Limitations on Number and Amount of Offered Units Sold. Under no circumstances shall the number and aggregate amount of the Units sold pursuant to this Agreement and any Terms Agreement exceed (i) the aggregate amount set forth in Section 1, (ii) the number of Common Units available for issuance under the currently effective Registration Statement or (iii) the number and aggregate amount of the Units, if any, authorized to be issued and sold under this Agreement by the Board, or a duly authorized committee thereof, and notified to each Manager in writing.
