Limitations on Number of Shares to be Put. (a) If Arcadia exercises its Put Right in connection with a Dissolution, then Arcadia can put to Bioceres up to the number of shares of Common Stock equal in value (as determined herein) to the amount of cash BUSA actually receives from Verdeca in connection with the Dissolution pursuant to the Operating Agreement, if any, net of any tax cost to BUSA and Bioceres relating to the receipt of such cash and its distribution to Bioceres.
