Limitations on Powers and Authorities of Partners. Notwithstanding the powers of the General Partner set forth in Section 9.1, the General Partner shall have no right or power to do any of the following: A. Do any act in contravention of this Agreement, or any amendment hereto; B. Do any act which would make it impossible to carry on the ordinary business of the Partnership, except to the extent that such act is specifically permitted by the terms hereof; C. Possess Partnership property or assign rights in specific Partnership property for other than Partnership purposes; or D. Do any act in contravention of applicable law.
