Limitations on Redemption and Repurchase of Shares. The Corporation hereby promises and covenants to and for the benefit of each Covered Debtholder that neither the Corporation nor any Subsidiary shall redeem or repurchase any of the Shares prior to the Termination Date except to the extent that (a) the Corporation has obtained the prior approval of the Federal Reserve if such approval is then required under the Federal Reserve’s risk-based capital guidelines applicable to bank holding companies and (b) the applicable redemption or repurchase price does not exceed the sum of the following amounts:
