Limitations on Resignation and Revocation. Notwithstanding Clause 15.1 (Resignation) and Clause 15.2 (Revocation): (a) if at any time there should be only one Paying Agent, no resignation by or termination of the appointment of the Paying Agent shall take effect until a successor paying agent in respect of the affected class or classes of Current Issuer Notes approved in writing by the Note Trustee has been appointed on terms previously approved in writing by the Note Trustee; (b) no resignation by or termination of the appointment of any Paying Agent shall take effect if as a result of such resignation or termination there would cease to be a Paying Agent in respect of the affected class or classes of Current Issuer Notes having a Specified Office in London or New York (as the case may be); (c) no appointment or termination of the appointment of a Paying Agent shall take effect unless and until notice thereof shall have been given to the relevant Noteholders in accordance with the Current Issuer Conditions; (d) no resignation by or revocation of the appointment of the Agent Bank shall take effect until a new Agent Bank having its Specified Office in London has been appointed; (e) no resignation by or termination of the appointment of the Registrar shall take effect until a new Registrar having its Specified Office in London has been appointed; and (f) the appointment of any additional Paying Agent shall be mutatis mutandis on the terms and subject to the conditions of this Agreement and each of the parties hereto shall co-operate fully to do all such further acts and things and execute any further documents as may be necessary or desirable to give effect to the appointment of such Paying Agent.

Notwithstanding Clause 15.1 (Resignation) Clauses 12.1 and Clause 15.2 (Revocation):12.2: (a) if at any time there should be is only one Paying Agent, no resignation by or termination of the appointment of the Paying Agent shall take effect until a successor paying agent new Paying Agent in respect of the affected class or classes Series and Classes of Current Issuer Notes Notes, approved in writing by the Note Trustee Trustee, has been appointed on terms previously approved in writing by the Note Trustee; (b) no resignation by or termination of the appointment of any Paying Agent shall take effect if as a result of such resignation or termination there would cease to be a Paying Agent in respect of the affected class or classes Series and Classes of Current Issuer Notes having a Specified Office in London or New York (as the case may be)London; (c) no resignation or termination of the appointment of a Paying Agent shall take effect if as a result of such resignation or termination there would cease to be a Paying Agent in a Member State of the European Union that is not obliged to withhold or deduct tax pursuant to European Council Directive 2003/48/EC or any law implementing or complying with, or introduced in order to conform to, such Directive; (d) no appointment or termination of the appointment of a Paying Agent shall take effect unless and until notice thereof shall have been given to the relevant Noteholders in accordance with the Current Master Issuer Trust Deed and the Conditions; (de) no resignation by or revocation of the appointment of the Agent Bank shall take effect until a new Agent Bank having its Specified Office in London has been appointed; (ef) no resignation by or termination of the appointment of the Registrar shall take effect until a new Registrar having its Specified Office in London has been appointed; and (fg) the appointment of any additional Paying Agent shall be mutatis mutandis on the terms and subject to the conditions of this Agreement and each of the parties hereto shall co-operate fully to do all such further acts and things and execute any further documents as may be necessary or desirable to give effect to the appointment of such Paying Agent.
