Limitations on Rights of Transferees. In the event of any sale or transfer permitted or required under this Agreement, each transferee shall receive and hold such Membership Interest subject to all the terms, conditions and restrictions of this Agreement, including this Section 4.5. The transferee of any interest in the Company shall execute a copy of this Agreement (or any other documents as reasonably requested by the Members) evidencing such transferee’s agreement to be bound by the same.
