Common use of Limitations on the Authority of the General Partner Clause in Contracts

Limitations on the Authority of the General Partner. Notwithstanding any term or provision set forth in this Agreement to the contrary, the General Partner shall not have the authority, right, power or privilege to do or undertake any of the following (or to authorize or permit, by action or inaction, any of the following) without approval by the Limited Partner: (a) merge or consolidate the Partnership with or into any other Person; (b) sell, assign, transfer, exchange or otherwise dispose of all or substantially all of the properties or assets of the Partnership; (c) voluntarily file a petition in bankruptcy with respect to the Partnership; or (d) bind the Limited Partner or act as the agent of the Limited Partner in any manner whatsoever.
