Common use of Limitations on Use Clause in Contracts

Limitations on Use. The Product/Service is licensed, not sold. Inogic reserves all other rights not expressly granted. While using the Product/Service, the Customer shall not do the following: (i) use the Product/Service in any way that xxxxx Product/Service or its resellers, distributors and/or vendors, or any Customer of a Product/Service; (ii) work around any technical limitations in the Product/Service that only allows the Customer to use it in certain ways; (iii) reverse engineer, decompile or disassemble the Product/Service; (iv) remove, minimize, block, or modify any notices of Inogic or its suppliers in the Product/Service; (v) use the Product/Service in any way that is against the law or to create or propagate malware; (vi) share, publish, distribute, or lend the Product/Service, provide the Product/Service to third parties as a stand-alone hosted solution for others to use, or transfer the Product/Service or this XXXX to any third party. (vii) rent, lease, lend, resell, or host to or for third parties any Product/Service; (viii) use any portion of the Product/Service as a destination linked from any unsolicited bulk messages or unsolicited commercial messages ("spam"); (ix) use any unauthorized automated process or service to access and/or use the Product/Service (such as a BOT, a spider, periodic caching of information stored by Product/Service or "meta-searching"), however, periodic automated access to the Product/Service for report creation or scheduling is permitted; (x) use any unauthorized means to modify or reroute, or attempt to modify or reroute, the Product/Service or work around any of the technical limitations in the service; and (xi) build a product or service using similar ideas, features, functions or graphics of the Product/Service. (xii) While using the Product/Service, the Customer shall do the following: ✓ comply with all the Applicable Laws; ✓ comply with any codes of conduct or other notices in writing provided by Inogic to the Customer; and ✓ promptly notify Inogic if it learns of a security breach or unauthorized access related to the Product/Service.

While using the Product/Service, the Customer Client shall not do the followingnot: (i) use provide access to the Product/Service in Platform to any way person that xxxxx Product/Service or its resellers, distributors and/or vendors, or any Customer of a Product/Serviceis not an Eligible User; (ii) work around except for month-end investment reports, publish, display, distribute or transfer in any technical limitations in form to any third party who is not an employee of Client, unless prior permission is granted by Manager, any Manager Data or the Product/Service that only allows results of any research, information or material derived from the Customer to use it in certain waysof the Manager's Proprietary System; (iii) reverse engineerresell, decompile make available or disassemble the Product/Servicedistribute any Manager Data Services or Documentation (or any part thereof) to any third party whether by license or by any other means; (iv) removeexcept for month-end investment reports, minimize, blockincorporate into, or modify warehouse on, any notices computer system of Inogic Client any Manager Data, Documentation, Services or its suppliers in the Product/ServiceManager's Proprietary System; (v) use copy, adapt, reverse engineer, decompile, disassemble, or modify, any portion of the Product/Service in any way that is against the law Manager Data or to create or propagate malwareManager's Proprietary System; (vi) shareconceal, publishremove or alter any title, distributetrademark, copyright, proprietary or lend restricted rights notices incorporated in the Product/Service, provide the Product/Service to third parties as a stand-alone hosted solution for others to use, or transfer the Product/Service or this XXXX to any third party. Evaluation versions available for download from InogicManager's websites may be freely distributed.Proprietary System; (vii) rentuse the Manager's Proprietary System in breach of any applicable laws, lease, lend, resell, regulations or host to or for third parties any Product/Servicemarket conventions; (viii) use any portion Manager's name or service marks in connection with a prospectus or the creation, issuance, offer or promotion of the Product/Service as a destination linked from any unsolicited bulk messages financial instrument, or unsolicited commercial messages ("spam")in their advertising or marketing materials; (ix) use any unauthorized automated process the Manager's Proprietary System for the benefit of a third party, including, but not limited to, on a time-share basis or service to access and/or use the Product/Service (such acting as a BOT, a spider, periodic caching of information stored by Product/Service service bureau or "meta-searching"), however, periodic automated access to the Product/Service for report creation or scheduling is permittedapplication service provider; (x) use any unauthorized means to modify or rerouteuse, evaluate, or attempt view any Services for the purpose of designing, modifying, or otherwise creating any software program, or any portion thereof, which performs functions similar to modify or reroute, that compete with the Product/Service or work around functions performed by any of the technical limitations in the serviceManager's Proprietary System; andor (xi) build a product or service using similar ideas, features, functions or graphics authorize any third party to do any of the Product/Serviceforegoing. If Client learns or suspects that such confidentiality or any provision of this Section 3.3 has in any way been breached, Client will immediately notify Manager, which may assign new passwords or restrict the Customer use of all or any portion of the Platform or the Services or take other appropriate action, in Manager's sole discretion. (c) Client shall, and shall do ensure that the following: ✓ comply Eligible Users, abide by and are bound to all of the terms of the Legal Statement published and amended from time to time on Manager's web site at [xxxx://xxx.xxxxxx.xxx]. Manager shall provide Client with all the Applicable Laws; ✓ comply with notice of any codes of conduct or other notices in writing provided by Inogic amendments to the Customer; and ✓ promptly notify Inogic if it learns of a security breach or unauthorized access related to the Product/ServiceLegal Statement on its web site.

While using the Product/Service, the Customer shall not do the following: (i) use the Product/Service in any way that xxxxx Product/Service or its resellers, distributors and/or vendors, or any Customer of a Product/Service; (ii) work around any technical limitations in the Product/Service that only allows the Customer to use it in certain ways; (iii) ; reverse engineer, decompile or disassemble the Product/Service; (iv) ; remove, minimize, block, or modify any notices of Inogic PROLAN Solutions or its suppliers in the Product/Service; (v) ; use the Product/Service in any way that is against the law or to create or propagate malware; (vi) ; share, publish, distribute, or lend the Product/Service, provide the Product/Service to third parties as a stand-alone hosted solution for others to use, or transfer the Product/Service or this XXXX EULA to any third party. (vii) . rent, lease, lend, resell, or host to or for third parties any Product/Service; (viii) ; use any portion of the Product/Service as a destination linked from any unsolicited bulk messages or unsolicited commercial messages ("spam"); (ix) ; use any unauthorized automated process or service to access and/or use the Product/Service (such as a BOT, a spider, periodic caching of information stored by Product/Service or "meta-searching"), however, periodic automated access to the Product/Service for report creation or scheduling is permitted; (x) ; use any unauthorized means to modify or reroute, or attempt to modify or reroute, the Product/Service or work around any of the technical limitations in the service; and (xi) and build a product or service using similar ideas, features, functions or graphics of the Product/Service. (xii) . While using the Product/Service, the Customer shall do the following: ✓ comply with all the Applicable Laws; ✓ comply with any codes of conduct or other notices in writing provided by Inogic PROLAN Solutions to the Customer; and ✓ promptly notify Inogic PROLAN Solutions if it learns of a security breach or unauthorized access related to the Product/Service. ORDERING, SUBSCRIPTION FEE, LATE PAYMENT, TAXES AND RENEWAL a) Ordering. The Customer shall place an order (an “Order”) for each subscription ("Subscription") for the Product/Service via any means made available by PROLAN Solutions and/or a licensed third-party reseller for such Order which shall state the length of time (e.g., 6 month or 12 months) of the Subscription (the “Term”) and the total number of Authorized User who shall run, use or access the Product/Service.. b) Subscription Fee means the amount the Customer is required to pay for the Subscription to the Product/Service, which may be billed monthly or annually. The Customer is required to pay the Subscription Fee in advance and PROLAN Solutions and/or a licensed third-party reseller shall charge the Customer at one time for a Subscription. Prices for each Order is fixed at the time the Subscription is first placed and apply throughout the Term. Subscription Fees shall be payable through an online payment gateway maintained by PROLAN Solutions through credit or debit cards or other modes of payment made available by PROLAN Solutions. Subscription Fees may be subject to change without notice and any such revised Subscription Fees shall apply only at the time of placing a new Order or an Order for renewal of an existing Subscription. Orders once made and Subscription once received are final and unalterable and Subscription Fees, once paid, shall be non-refundable.

While using the Product/Service, the Customer Adviser shall not do the followingnot: (i) use provide access to the Product/Service in Platform to any way person that xxxxx Product/Service or its resellers, distributors and/or vendors, or any Customer of a Product/Serviceis not an Eligible User; (ii) work around except for month-end investment reports, publish, display, distribute or transfer in any technical limitations in form to any third party who is not an employee of Adviser, unless prior permission is granted by Sub-Adviser, any Sub-Adviser Data or the Product/Service that only allows results of any research, information or material derived from the Customer to use it in certain waysof the Sub-Adviser's Proprietary System; (iii) reverse engineerresell, decompile make available or disassemble the Product/Servicedistribute any Sub-Adviser Data Services or Documentation (or any part thereof) to any third party whether by license or by any other means; (iv) removeexcept for month-end investment reports, minimize, blockincorporate into, or modify warehouse on, any notices computer system of Inogic Adviser any Sub-Adviser Data, Documentation, Services or its suppliers in the Product/ServiceSub-Adviser's Proprietary System; (v) use copy, adapt, reverse engineer, decompile, disassemble, or modify, any portion of the Product/Service in any way that is against the law Sub-Adviser Data or to create or propagate malwareSub-Adviser's Proprietary System; (vi) shareconceal, publishremove or alter any title, distributetrademark, copyright, proprietary or lend restricted rights notices incorporated in the Product/Service, provide the Product/Service to third parties as a standSub-alone hosted solution for others to use, or transfer the Product/Service or this XXXX to any third party. If Adviser learns or suspects that such confidentiality or any provision of this Section 3.3 has in any way been breached, Adviser will immediately notify Sub-Adviser, which may assign new passwords or restrict the Customer use of all or any portion of the Platform or the Services or take other appropriate action, in Sub-Adviser's sole discretion.
