Common use of Limited Liability Company and Governmental Authorization Clause in Contracts

Limited Liability Company and Governmental Authorization. The execution, delivery and performance by HVF of this Indenture, the applicable Series Supplement and the other Related Documents to which it is a party (a) is within HVF’s limited liability company powers and has been duly authorized by all necessary limited liability company action, (b) requires no action by or in respect of, or filing with, any Governmental Authority which has not been obtained and (c) does not contravene, or constitute a default under, any Requirements of Law with respect to HVF or any Contractual Obligation with respect to HVF or result in the creation or imposition of any Lien on any property of HVF, except for Liens created by this Indenture or the other Related Documents. This Indenture and each of the other Related Documents to which HVF is a party has been executed and delivered by a duly authorized officer of HVF.

The execution, delivery and performance by HVF HVIF of this Base Indenture, the applicable HVIF Series Supplement and the other Related Documents to which it is a party (a) is within HVFHVIF’s limited liability company powers and powers, (b) has been duly authorized by all necessary limited liability company action, (bc) requires no action by or in respect of, or filing with, any Governmental Authority which that has not been obtained and (cd) does not contravene, or constitute a default under, any Requirements of Law with respect to HVF HVIF or any Contractual Obligation with respect to HVF HVIF or result in the creation or imposition of any Lien on any property of HVFHVIF, except for Liens created by this Indenture Base Indenture, the applicable HVIF Series Supplement or the other Related Documents. This Base Indenture and each of the other Related Documents to which HVF HVIF is a party has been executed and delivered by a duly authorized officer of HVFHVIF.
