Limited Market for Shares. The Investor understands that the issuance of the Shares has not been registered under the Securities Act and that the Shares are being sold in reliance upon the exemption from the registration requirements under the Securities Act provided in Regulation D promulgated thereunder or pursuant to other exemptions not inconsistent therewith. The Investor further understands that there is a limited public trading market for the Shares and there can be no assurance that an active market will develop.
