Limited Partner Approvals. Notwithstanding Section 5.1, the General Partner may take any action which by the express terms of this Agreement requires the approval or consent of the Limited Partners (or any subset or proportion thereof) if and only if the General Partner receives such prior approval or consent of the members of the Fund REIT in accordance with the Fund REIT Agreement.
