Limited Purpose and Authority Sample Clauses

Limited Purpose and Authority. (a) The purpose of the Company shall be to engage in the Business and other activities related thereto or to engage in any other act or activity that is permitted by Applicable Law that has been duly authorized by the Board of Managers. (b) Subject to the terms, conditions and limitations of this Agreement, the Company shall have the power and authority to do all such other acts and things as may be necessary, desirable, expedient, convenient for, or incidental to the furtherance and accomplishment of the foregoing purpose.
