Limited Role of Agent. Agent has acted only as an advisor to the Company, Agent has advised the Company on the structure of the Offering and Securities, and has identified potential investors. The Company has offered the Securities to the investors and has negotiated directly with the investors in the Offering. Agent will use best efforts to introduce the Company only to "accredited investors" as defined in Regulation D. Wherever possible Agent will introduce the Company to prospective investors who are not "U.S. Persons," as defined in Regulation S.
