LINKED AGREEMENTS. 2.1. La Fourchette SAS, 00 xxx Xxxxx-Xxxxxx 00000 Xxxxx, XXX Xxxxx 494 447 949 (“LAF”), a company incorporated under the laws of France, acts as provider of the Platform and Data Controller for the purposes detailed in the TheFork Privacy and Cookies Statement available here (“Privacy Policy”). In using the Platform and making a Restaurant listing available to be booked on the Platform, Restaurateur hereby expressly accepts the LAF’s Terms of Use, incorporated in this Agreement by reference (“Terms of Use”). The Terms of Use are entered into with LAF and constitute a separate agreement with the Restaurateur for the purposes of using the Platform, interacting with Diners, and everything else described under the Terms of Use. Unless otherwise expressly defined herein, the terms defined in the Terms of Use shall have the same meanings whenever used in this Agreement.   • Related Agreements Any agreement related to this Plan shall be in writing and shall provide that: (i) such agreement may be terminated at any time, without payment of any penalty, by a vote of a majority of the Independent Trustees or by a vote of the holders of a “majority” (as defined in the 0000 Xxx) of the Fund's outstanding Class C voting shares; (ii) such termination shall be on not more than sixty days’ written notice to any other party to the agreement; (iii) such agreement shall automatically terminate in the event of its “assignment” (as defined in the 1940 Act); (iv) such agreement shall go into effect when approved by a vote of the Board and its Independent Trustees cast in person at a meeting called for the purpose of voting on such agreement; and (v) such agreement shall, unless terminated as herein provided, continue in effect from year to year only so long as such continuance is specifically approved at least annually by a vote of the Board and its Independent Trustees cast in person at a meeting called for the purpose of voting on such continuance.

  • Client Agreements Supplier will have a direct contract with, or provide its standard Product or Service terms directly to, Client, which will be enforceable solely between Client and Supplier, for all terms related to Client’s receipt and use of Products and Services (each a “Client Agreement”), other than the payment, risk of loss, and delivery terms that are contracted directly with Accenture.

  • Sub-Agreements Party shall not assign, subcontract or subgrant the performance of this Agreement or any portion thereof to any other Party without the prior written approval of the State. Party shall be responsible and liable to the State for all acts or omissions of subcontractors and any other person performing work under this Agreement pursuant to an agreement with Party or any subcontractor.   • Subagreements Recipient may enter into agreements with sub-recipients, contractors or subcontractors (collectively, “subagreements”) for performance of the Project.
