Liquidation, Dissolution, Reorganization. Without the prior written consent of each Investor, which consent shall not be unreasonably withheld, the Company shall not liquidate, dissolve or effect a reorganization in any form of transaction (including any reorganization into a limited liability company, a partnership or any other non-corporate entity which is treated as a partnership for federal income tax purposes and any reorganization after which the Company becomes a subsidiary of any other Person).
