Liquidation of Interests of Partners. 10.6 On the occurrence of a Terminating Event, no further Business is to be conducted except for such action as necessary for completing a transaction unfinished at the time of termination, winding-up of the affairs of the Limited Partnership and the distribution of the Limited Partnership Assets amongst the Partners in proportion to their Partnership Interests.
