LIQUIDATION OF POOL. Upon the liquidation of all or part of the Securities in a given Pool, the Partnership shall purchase from each Partner holding Units in such Pool a number of Units in such Pool bearing the same ratio to the number of such Units as the liquidated Securities bore to the total value of the Pool. The purchase price for such Units shall be the Net Asset Value per Unit. There shall be no purchase of fractional Units. The purchase price shall be paid as promptly as is reasonably possible following the purchase date.
