Common use of Listing of Stock Clause in Contracts

Listing of Stock. Holding Company shall use its reasonable best efforts to cause (i) the shares of Holding Company Common Stock to be registered under the Securities Act and issued in connection with the Mergers (and the shares of Holding Company Common Stock underlying the securities to be issued pursuant to Section 3.5) to be approved for listing on the NYSE, subject to official notice of issuance, and (ii) the securities of Agribrands and Ralcorp to be de-listed from NYSE in connection with the Closing.
