Common use of Listing on Securities Exchanges; Registration Clause in Contracts

Listing on Securities Exchanges; Registration. If the Company at any time shall list any Common Stock on any national securities exchange, or interdealer quotation system, and shall register such Common Stock under the Securities Exchange Act of 1934 (as then in effect, or any similar statute then in effect), the Company will, at its expense, simultaneously list on such exchange, upon official notice of issuance upon the exercise of the Warrant, and maintain such listing of all shares of Common Stock from time to time issuable upon the exercise of the Warrant; and the Company will so list on any national securities exchange, will so register and will maintain such listing of, any Other Securities if and at the time that any securities of like class or similar type shall be listed on such national securities exchange by the Company.

If the Company at any time shall list any Units, Underlying Common Stock or Redeemable Warrants on any national securities exchange, or interdealer quotation system, and shall register such Common Stock under the Securities Exchange Act of 1934 (as then in effect, or any similar statute then in effect), the Company will, at its expense, use its best reasonable efforts to simultaneously list on such exchange, upon official notice of issuance upon the exercise of the WarrantUnderwriters' Warrants, and maintain such listing of of, all Units, Redeemable Warrants and shares of the Underlying Common Stock from time to time issuable upon the exercise of the WarrantUnderwriters' Warrants; and the Company will so list on any national securities exchange, will so register and will maintain such listing of, any Other Securities if and at the time that any securities of like class or similar type shall be listed on such national securities exchange by the Company.
