Litigation and Complaints a) AGRA is not engaged in any litigation or arbitration proceedings, and there are no such proceedings or suits pending or, to the knowledge of AGRA, threatened against or by AGRA. To the best of AGRA's knowledge, there are no matters or circumstances which are likely to give rise to any such litigation or arbitration proceedings by or against AGRA.
b) AGRA is not subject to any investigation, inquiry or enforcement proceedings or processes by any governmental entity, and to the best of AGRA's knowledge, there are no matters or circumstances which are likely to give rise to any such investigation, inquiry, proceedings or process.

To the best of CHI's knowledge, there are no matters or circumstances which are likely to give rise to any litigation or arbitration proceedings by or against CHI.
5.7.2 CHI is not subject to any investigation, inquiry or enforcement proceedings or processes by any Governmental Entity, and to the best of CHI's knowledge, there are no matters or circumstances which are likely to give rise to any such investigation, inquiry, proceedings or process.
Litigation and Complaints. 3.9.1 OB is not engaged in any litigation or arbitration proceedings, and there are no such proceedings pending or threatened against or by OB. To the best of OB's knowledge, there are no matters or circumstances which are likely to give rise to any litigation or arbitration proceedings by or against OB.
3.9.2 OB is not subject to any investigation, inquiry or enforcement proceedings or processes by any Governmental Entity, and to the best of OB's knowledge, there are no matters or circumstances which are likely to give rise to any such investigation, inquiry, proceedings or process.
Litigation and Complaints. 5.7.1 DKII is not engaged in any litigation or arbitration proceedings, and there are no such proceedings pending or threatened against or by DKII. To the best of DKII's knowledge, there are no matters or circumstances which are likely to give rise to any litigation or arbitration proceedings by or against DKII.
5.7.2 DKII is not subject to any investigation, inquiry or enforcement proceedings or processes by any Governmental Entity, and to the best of DKII's knowledge, there are no matters or circumstances which are likely to give rise to any such investigation, inquiry, proceedings or process.
Litigation and Complaints. (a) The Franchisee must maintain current external dispute resolution membership, the certificate of which is to be provided to the Company upon request.
(b) If a complaint is made to or about the Franchisee, an employee or in respect of the Business or legal proceedings are commenced against the Franchisee or notice threatening legal action is given to the Franchisee, the Franchisee must immediately notify the Company and its insurer.
(c) The Franchisee gives full authority to the Company to resolve all complaints made against the Franchisee and the Business, however the Company can not offer any monetary settlement on behalf of the Franchisee unless the Franchisee approves such monetary amount.
(d) The Franchisee agrees to provide full co-operation and all relevant documentation to the Company in relation to any complaint made against the Franchisee and the Business upon demand.
(e) The Franchisee agrees to comply with the dispute resolution procedure as outlined in the Operations Manual as may be amended from time to time.
(f) In order to protect the goodwill of the Company, no legal action may be taken by the Franchisee in connection with the Business without the consent of the Company. Nothing in this clause will deprive or limit the right of the Franchisee or the Company to take action against the other in respect of any matter or to seek urgent injunctive relief.
Litigation and Complaints. Except as disclosed in Exhibit C, there is no litigation or proceeding pending, or to Street's knowledge threatened, against or relating to Street, its properties, or business, nor does Street know or have reasonable grounds to know, of any basis for any such action, or of any governmental investigation relative to Street, its properties, or business. In addition, except as disclosed in Exhibit C, Street is not aware of any outstanding complaints filed against them with the Securities and Exchange Commission or the NASD in connection with the operation of their securities business. Street is not, and on the Closing Date will not be, in default under or with respect to any judgment, order, writ, injunction or decree of any court or of any federal, state, municipal or other governmental authority, department, commission, board, agency or other instrumentality; and Street has, and on the Closing Date will have, complied in all material respects with all laws, rules, regulations and orders applicable to it and to its business, if any.

BLOCK represents and warrants that there are no legal, administrative, arbitration or other proceeding or governmental investigation pending nor, to the best of BLOCK's knowledge, threatened against or affecting BLOCK relating to transactions contemplated hereby, and there has not occurred any event nor are there any facts upon which any such proceedings or investigations can be based. BLOCK has not settled any legal, administrative, arbitration or other proceeding or governmental investigation involving the transactions contemplated hereby. BLOCK is not subject to, nor is there outstanding, any judgment, award, order, writ, injunction or decree of any court, administrative agency, governmental body or arbitration tribunal and relating to the transactions contemplated hereby.
