Litigation and Compliance 15. 1 No Material Proceedings So far as the Sellers are aware, no Target Group Company is, as at the date of this Agreement, a party to any claim, investigation, prosecution, arbitration or litigation in any court, or tribunal that will, or would reasonably be likely to have a financial impact on the business, operations or revenues of the Target Group exceeding GBP 200,000 (“Material Proceedings”).
