Litigation and Continent Liabilities. No claims, litigation, arbitration proceedings or governmental proceedings by any Governmental Authority are pending or threatened against or are affecting Issuer the results of which might interfere with the consummation of any of the transactions contemplated by this Loan Agreement or any document issued or delivered in connection herewith. Section 515. Title; Liens. Issuer has good, legal and marketable title to each of its respective assets, and none of such assets is subject to any Lien, except for the Lien created pursuant to this Loan Agreement.
