Litigation and Government Claims. Except as previously disclosed to Buyer, there is no action, suit, claim, proceeding, arbitration, investigation or inquiry, whether civil, criminal or administrative ("Litigation") pending or, to the knowledge of the Shareholder, threatened against the Seller or any of the Partnerships or to which any of their business or assets is subject, nor does Shareholder know, or have grounds to know, of any basis for any unasserted Litigation of any nature that might be asserted against Seller or any of the Partnerships.
