Except as disclosed in the Parent SEC Reports, there is no pending suit, claim, action or litigation, or administrative, arbitration or other proceeding or governmental investigation or inquiry against Parent or the Merger Subsidiary to which their businesses or assets are subject which would, severally or in the aggregate, reasonably be expected to result in a Parent Material Adverse Effect nor have any such proceedings been threatened or contemplated. Neither Parent nor the Parent Subsidiary is subject to any judgment, decree, injunction, rule or order of any court, or, to the knowledge of Parent, any governmental restriction applicable to Parent or the Parent Subsidiary which is reasonably likely to have a Parent Material Adverse Effect.
