Litigation and Government Claims. Except as indicated in Item 2.13 of the Disclosure Schedule, there is no pending suit, claim, action or litigation or administrative, arbitration or other proceeding or governmental investigation or inquiry against JVP CORP or the Partnership or to which any of their business or assets is subject. Except as indicated in Item 2.13 of the Disclosure Schedule, there are no such proceedings threatened or, to the best knowledge of JVP CORP or SUMISLAWSKI, contemplated or, to the best knowledge of JVP CORP or SUMISLAWSKI, any basis for any unasserted claims (whether or not the potential claimant may be aware of the claim) of any nature that might be asserted against JVP CORP or the Partnership.
