Except as disclosed on Schedule 8.5 hereto, there is no action, suit, investigation, or proceeding before or by any Tribunal or arbitrator pending, or to the knowledge of Borrower, threatened against or affecting Borrower or any Subsidiary, that would, if adversely determined, have a Material Adverse Effect. There are no outstanding judgments against Borrower or any of its Subsidiaries.
