Except as set forth in Schedule 3.14 of the Company Disclosure Schedule, there are no actions, suits, legal or administrative proceedings or investigations pending or threatened, against or relating to the Company, its officers, directors or employees, its properties, assets or business or the transactions contemplated by this Agreement, and neither the Company nor the Stockholders know of, nor have any reason to be aware of, any basis for the same.
